Terms

1. Scope

These terms apply to all quotes, orders and contracts between Click & Flow, Ileana Dolores Bidetti-López Ordóñez, Suurstoffi 31, 6343 Rotkreuz («Click & Flow») and the client («the client»).

Deviations are valid once agreed in writing – an email is enough. The client's own terms apply only where Click & Flow expressly accepts them.

2. Services

Click & Flow builds websites and sets up digital automations, for example for enquiries via WhatsApp, phone or website, as well as ongoing care («Website Care & Support»).

What exactly belongs to the order follows from the written quote and the package chosen in it. Anything not listed there is not owed.

The Digital Opportunity Check on the website is free and non-binding. It is an assessment, not a guarantee and not an offer of contract.

3. Quote and conclusion of contract

Information on the website is non-binding. What binds is the personal quote; it is valid for 30 days from its date.

The contract comes into force once the client confirms the quote in writing or by email.

4. Prices and payment

All prices are in Swiss francs. The price stated in the quote is fixed before the work begins.

One-off services are invoiced 50 % at the start of the order and 50 % on handover. Monthly services are invoiced in advance.

Invoices are payable within 14 days without deduction. If payment is still outstanding after a reminder, Click & Flow may suspend the work and any running services until payment is received.

5. The client's contribution

A project needs the client in order to move. They provide in good time:

• texts, images, logos and other content
• the necessary access, for example to the domain, hosting, WhatsApp Business or booking system
• a contact person who is allowed to decide

6. The client's content

The client warrants that they hold the rights to the texts, images and logos supplied and that their content is lawful.

Should third parties approach Click & Flow because of them, the client indemnifies Click & Flow against such claims.

7. Timing

A website is usually ready in two to four weeks, automations often sooner. These figures are guidance, not committed dates.

The period starts once all content and access are available. If they are missing, or feedback does not arrive, the date moves accordingly.

For an express surcharge of 15 % a project is brought forward, as far as capacity allows.

8. Revisions

The price includes two rounds of revisions on the agreed draft.

Further changes, and adjustments after handover, are charged by effort; small changes from CHF 50 per adjustment.

If the client wants a fundamentally different direction after the draft has been approved, this counts as a new order.

9. Acceptance

After handover the client reviews the result within ten days and reports defects in writing.

If no feedback arrives within that period, or the website is used productively, the work is deemed accepted.

10. Rights and ownership

On full payment, the rights of use in the delivered result – design, texts and setup – pass to the client. Until then they remain with Click & Flow.

Domain and hosting run in the client's name; they remain the owner of their accounts and data. Third-party licences and fees – for WhatsApp Business, telephony, AI services, fonts or images – are borne by the client.

Tools, templates and building blocks used by Click & Flow remain its property and may be reused in other projects.

Click & Flow may show the project as a reference. The client may object to this in writing at any time.

11. Monthly services

Care and running automations have a minimum term of three months.

After that they can be cancelled at any time with 30 days' notice to the end of the month, in writing or by email. Amounts already paid are not refunded.

At the end, Click & Flow hands over the necessary access; running the automations then lies with the client.

12. Automations and artificial intelligence

Click & Flow sets up systems carefully, but owes no particular business result: more enquiries, bookings or revenue are not promised.

Automated and AI-supported replies can be wrong or inappropriate. The client reviews the texts and flows before they go live and remains responsible for the communication towards their own customers.

Automations depend on third-party services such as Meta/WhatsApp, telephony, hosting or AI providers. Click & Flow cannot vouch for their availability, prices or rule changes. If a provider changes its conditions, a solution is sought together; any additional work is charged by effort.

13. Data processing on behalf of the client

Where Click & Flow processes personal data of the client's own customers as part of an automation, this takes place as processing on behalf of the client within the meaning of art. 9 revFADP.

Click & Flow processes that data solely in order to deliver the agreed service and on the client's instructions, treats it confidentially, secures it with appropriate measures and does not pass it on for its own purposes.

Click & Flow may involve sub-processors – hosting, telephony or AI providers, for instance – binds them to the same level of protection and informs the client about them on request.

The client remains responsible for that data: they provide the legal basis and make sure their own customers are informed about the processing. After the contract ends, the data is handed over or deleted on request.

14. Liability

Click & Flow is liable for damage caused intentionally or through gross negligence. Otherwise liability is limited to the value of the order concerned.

There is no liability for lost profit, loss of data and other indirect damage, nor for outages, blocks or changes at third-party services.

15. Confidentiality

Both sides treat documents, access data and business information received during the collaboration as confidential. This duty continues after the contract ends.

16. Governing law and place of jurisdiction

The contractual relationship is governed exclusively by Swiss law.

The place of jurisdiction is Zug, Switzerland. Mandatory statutory places of jurisdiction remain reserved.

17. Final provisions

Should a provision of these terms be invalid, the remaining ones stay in force.

Click & Flow may adapt these terms. For orders already running, the version valid at the conclusion of the contract applies.
